CITIC Securities Company Limited Supplier Code of Conduct

CITIC Securities Company Limited (hereinafter referred to as “CITIC Securities” or the “Company”) selects suppliers of integrity who are trustworthy and law-abiding. The Company gives preference to suppliers who can implement socially and environmentally sustainable policies in their business. The Supplier Code of Conduct applies to CITIC Securities and its subsidiaries.

To a minimal extent, suppliers are expected to comply with the codes of conduct as follows:

I. Compliance with Laws, Regulations and Ethics

Suppliers shall operate their businesses in strict compliance with all applicable laws, regulations, industry standards, ethics and code of conduct, and shall have appropriate internal policies, management systems and guidelines in place.

II. Protection of the Environment

·       Suppliers shall comply with applicable environmental laws and regulations of the country in which they are located and actively obtain relevant certifications for environmental management system;

·       Suppliers shall make continuous efforts to improve environmental performance, including but not limited to improvements and enhancements in energy conservation and emission reduction, resource consumption, etc., and disclose relevant initiatives and results;

·       Suppliers shall reasonably handle and store hazardous materials and wastes and dispose of them in a safe and legal manner.

III. No Child Labor

Laborers below legal working age shall not be employed.

IV. Freedom of Employment

·       Suppliers shall employ staff on a voluntary basis and shall not physically harm employees or perform any other form of forced labor;

·       Suppliers shall not detain employees or restrict their freedom of mobility.

V. Pay and Working Hours

·       Suppliers shall enter into employment contracts with all employees that comply with local laws and regulations;

·       Suppliers shall comply with the minimum wage law;

·       Salaries shall be paid on time and shall not withhold or delay paying wages, bonuses and benefits;

·       Overtime compensation shall be paid in accordance with laws and regulations.

VI. Health and Safety

·       Suppliers shall comply with all applicable laws related to health and safety in the workplace.

·       Suppliers shall provide training to employees on site safety and related practices to protect workers’ health and safety and those of others.

VII. Discrimination

·       The hiring of employees shall be based on the candidate’s compliance with the job requirements as the primary determining factor;

·       Suppliers shall ensure that no discrimination in the workplace in terms of race, age, gender, class, political affiliation, religion, marital status, sexual orientation, disability, pregnancies and any other biases.

VIII. Bribery and Corruption

CITIC Securities has established the Anti-Bribery and Integrity Policy Regulations of CITIC Securities Company Limited, which requires all departments and employees of the Company to safeguard against improper transfer or seeking of benefits. The Anti-bribery and Integrity Policy also specifies the disciplines and financial management policies in relation to anti-commercial bribery. Suppliers shall formulate and strictly enforce policies, code of conduct and operating procedures to eliminate any form of bribery, corruption, and fraud.
